These Terms of Service ("Terms") constitute a legally binding agreement between you and Provectus Systems regarding your use of our website, software platforms, products, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

Provectus Systems provides ProvectusQuantus, a trading and portfolio management platform, along with related software tools and services. The Services are provided "as is" and "as available." We may modify, suspend, or discontinue any part at any time.

3. Financial Services Disclaimer

3.1 Not Investment Advice

Provectus Systems is a technology provider. We do NOT provide investment advice, financial planning, or brokerage services. Our Services are tools for executing your own investment decisions. You are solely responsible for all investment decisions, evaluating strategy suitability, assessing your risk tolerance, and seeking professional advice when needed.

3.2 Third-Party Brokerages

Our platform integrates with third-party brokerages. We are not a registered broker-dealer or investment advisor. All transactions are executed through your accounts with third-party brokers, subject to their terms and fees.

3.3 Risk of Loss

You acknowledge that you may lose some or all of your invested capital. Market volatility, software errors, or connectivity issues may impact your ability to trade. Historical performance does not guarantee future results.

4. User Accounts

To access certain features, you must create an account with accurate information, maintain its security, and accept responsibility for all activity under your account. You must be at least 18 years old. We may suspend or terminate accounts at any time.

5. Acceptable Use

You agree not to violate any laws, engage in fraudulent trading practices, attempt unauthorized access, interfere with our Services, reverse engineer our software, use automated scraping, or redistribute our Services without permission.

6. Intellectual Property

All intellectual property in the Services is owned by or licensed to Provectus Systems. You receive a limited, non-exclusive, revocable license to use the Services. You retain ownership of your data and grant us a license to process it solely to provide the Services.

7. Fees and Payment

Certain features may require payment. Subscriptions renew automatically unless cancelled. All fees are non-refundable except as required by law. You are responsible for applicable taxes.

8. Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, TRADING LOSSES, OR LOST PROFITS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PRECEDING 12 MONTHS OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify and hold harmless Provectus Systems from claims arising from your use of the Services, violations of these Terms, your trading activities, and your User Content.

Your data is governed by our Privacy Policy.

11. Governing Law

These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved by binding arbitration under AAA rules. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND CLASS ACTION PARTICIPATION.

12. General Provisions

These Terms constitute the entire agreement. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent. We are not liable for force majeure events.
